Dear Clients,

In accordance with the recent amendments to the BVI Business Companies Act, all BVI companies are required to file a Financial Annual Return each year within nine (9) months after the end of their financial year.

The Annual Return containing the financial information for the 2024 fiscal year (template attached) must be completed for each BVI company and submitted by September 15, 2025 to the following email addresses:

Please note that the Annual Return must be filed even if the company had no assets or capital contributions during the 2024 fiscal year.

For companies whose financial statements are prepared and administered by Assure, the preparation and filing of the Annual Return are already included in our services. In such cases, we will share confirmation of the filing with you shortly.

If you have already received the confirmation of submission for your company’s 2024 Annual Return from our team, please disregard this email.

For companies whose financial statements are prepared by a third-party accountant, we can provide standalone support for the preparation and submission of the Annual Return. This service will be quoted on a case-by-case basis.

Important: Failure to submit the Annual Return to your respective Registered Agent may result in penalties of up to US$5,000, potential strike-off of the company, and even removal from the BVI Registry.
